Terms of Service

1. Introduction

Welcome to SRBN Software ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your use of our website, services, and products.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part, please do not use our services.

"Services" refers to software development, web development, mobile app development, cloud solutions, AI/ML, and IT consulting.
"Client" refers to any individual or entity that uses our services.
"Project" refers to any specific work undertaken by SRBN Software for a Client.
"Deliverables" refers to all materials, code, and assets provided to the Client.

3.1. A formal agreement will be established for each project, outlining scope, timeline, and deliverables.

3.2. Any changes to the project scope may result in additional fees and timeline adjustments.

3.3. We reserve the right to refuse service to anyone for any reason at any time.

4.1. A deposit of 30-50% is required before project commencement, depending on project size.

4.2. Final payment is due upon project completion and before final deliverables are released.

4.3. All payments are processed in USD (US Dollars) or BDT (Bangladeshi Taka).

4.4. Late payments may incur a 5% monthly interest charge on overdue amounts.

5.1. All code and deliverables remain the property of SRBN Software until full payment is received.

5.2. Upon full payment, the Client receives full ownership of the custom-developed deliverables.

5.3. SRBN Software retains the right to showcase the project in our portfolio.

5.4. Any pre-existing code libraries remain the property of SRBN Software.

6.1. Both parties agree to keep confidential information strictly confidential.

6.2. Confidential information includes business strategies, source code, and client data.

6.3. This obligation survives the termination of our agreement.

7.1. We warrant that services will be performed with reasonable skill and care.

7.2. We do not warrant that our services will be uninterrupted or error-free.

7.3. All services are provided "AS IS" without warranties of merchantability or fitness.

8.1. To the maximum extent permitted by law, SRBN Software shall not be liable for any indirect, incidental, or consequential damages.

8.2. Our total liability shall not exceed the total amount paid by you for our services.

8.3. We are not liable for any third-party services or products used in conjunction with our deliverables.

9.1. Either party may terminate the agreement with 30 days written notice.

9.2. We may terminate immediately for breach of payment terms or misuse of our services.

9.3. Upon termination, Client must pay for all work completed up to that point.

10.1. These Terms shall be governed by the laws of Bangladesh and international commercial laws.

10.2. Any disputes shall be resolved through arbitration in Dhaka, Bangladesh.

10.3. This agreement is compliant with GDPR, CCPA, and international data protection standards.

11.1. We reserve the right to update these Terms at any time.

11.2. Continued use of our services constitutes acceptance of modified Terms.
